1. Eligibility and User Representations

This includes, but is not limited to, audio recordings, transcripts, generated questions, images, text inputs, podcast content, and any other data you submit to or generate with the Service.

2.2. Your Sole Responsibility. You are solely and entirely responsible for all User Content that you upload, submit, or use in connection with the Service. This means that you, and not Liyam, are entirely responsible for all User Content that you upload, post, email, transmit, or otherwise make available via the Service.

2.3. Representations and Warranties Regarding User Content. By submitting User Content to the Service, you represent and warrant that: * You are the sole owner of all intellectual property rights in your User Content, or you have obtained all necessary licenses, rights, consents, and permissions to use and authorize Liyam to use your User Content as contemplated by these Terms. * Your User Content does not and will not infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or violate any applicable law or regulation. * Your User Content is not defamatory, libelous, obscene, pornographic, hateful, violent, offensive, or otherwise inappropriate or harmful. * Your User Content does not contain any viruses, Trojan horses, worms, time bombs, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.

2.4. Disclaimer of Liyam's Liability for User Content. Liyam disclaims all liability for any User Content. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content or communications posted via the Service. You understand that by using the Service, you may be exposed to User Content that is offensive, harmful, inaccurate, or otherwise inappropriate, or in some cases, User Content that has been mislabeled or is otherwise deceptive.

2.5. Indemnification for User Content. You agree to indemnify, defend, and hold harmless Liyam, its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and costs) arising out of or in any way connected with your User Content, including but not limited to any claim that your User Content infringes, violates, or misappropriates the rights of any third party.

 

3. Grant of Rights for Marketing Use

3.1. License Grant. By using our Service, particularly if you are a business or organization, you expressly grant Liyam AI Ltd. a non-exclusive, worldwide, royalty-free, fully paid-up, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, publish, display, and distribute your company name, trade name, trademarks, service marks, and logo (collectively, "Your Marks") for marketing, promotional, and publicity purposes. This includes, but is not limited to, displaying Your Marks on our website (e.g., in a "Clients" or "Partners" section), in presentations, case studies, press releases, advertising materials, and other promotional communications related to Liyam and the Service.

3.2. No Alteration. We agree not to alter Your Marks except for reasonable sizing, formatting, or stylistic adjustments consistent with our design needs and to ensure proper display across various media. We will not use Your Marks in any way that implies endorsement or approval of any third-party product or service without your explicit prior written consent.

 

4. Fact-Checking and AI-Generated Content Disclaimer

4.1. "Check Fact" and Similar Features. Our Service may provide tools or features, such as "Check Fact" or similar functionalities, designed to assist users in verifying information or generating content based on AI algorithms.

4.2. "AS-IS" Provision. These features, including any AI-generated content or fact-checking results, are provided "AS IS" and "AS AVAILABLE," without any warranties of any kind, whether express or implied.

4.3. No Guarantee of Accuracy or Reliability. We do not guarantee, represent, or warrant the accuracy, completeness, reliability, currentness, non-infringement, or suitability of any fact-checking result, AI-generated content, or any other output provided by these tools. The information and content generated by AI are based on patterns and data and may contain errors, biases, or inaccuracies.

4.4. Your Sole Responsibility for Verification and Use. You acknowledge and agree that any reliance on or use of such tools, features, or their output is solely at your own risk. It is your sole responsibility to independently verify the accuracy and completeness of any information provided by the Service's fact-checking tools or AI-generated content before relying on it or disseminating it.

4.5. Limitation of Liability for Tool Use. You expressly agree that you will not hold Liyam AI Ltd., its affiliates, officers, directors, employees, contractors, or agents liable for any damages, losses, claims, or liabilities (including direct, indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of profits or data) arising from or in connection with your use of or reliance on these "Check Fact" tools, AI-generated content, or any failure, inaccuracy, or error therein.

 

5. Data Usage and Privacy

5.1. Collection and Processing of User Content for Service Improvement. We may collect, store, and process User Content, including but not limited to audio recordings, transcripts, questions, and other inputs you provide or generate using the Service. This data is collected and processed for the sole purpose of operating, maintaining, improving, and developing our Service, which includes, without limitation, training and refining our AI models to generate better questions, summaries, and other outputs for hosts and guests, and enhancing the overall functionality and performance of the Service.

5.2. Confidentiality and Limited Sharing. We are committed to maintaining the confidentiality of your User Content. We will not share your transcripts or other User Content with third parties except in the following limited circumstances: * As explicitly permitted by you through the Service (e.g., if you choose to share content publicly). * With our trusted third-party service providers who assist us in providing and improving the Service (e.g., cloud hosting, data processing, and AI model training services), provided such third parties are bound by strict confidentiality obligations and use the data only for purposes of performing services for Liyam. * As required by applicable law, regulation, legal process, or governmental request. * To enforce these Terms, protect our rights, property, or safety, or the rights, property, or safety of our users or the public.

5.3. Internal Access. Only our authorized internal systems and personnel who require access to User Content for the legitimate purposes outlined in this Policy (e.g., for technical support, Service improvement, or troubleshooting) will have access to such data, under strict confidentiality protocols.

6. Payments and Fees

6.1. Future Paid Features. Our Service may offer paid features, premium functionalities, or subscription plans in the future.

6.2. Agreement to Pay. If you choose to subscribe to a paid plan or purchase paid features, you agree to pay all applicable fees and charges as described on the Service at the time of your purchase. You also agree to abide by any additional payment terms, billing policies, or subscription agreements that we may provide or require.

6.3. Billing Information. You agree to provide accurate and complete payment and billing information, and you authorize Liyam or its third-party payment processors to charge your selected payment method for all applicable fees.

 

7. Intellectual Property Rights

7.1. Liyam's Intellectual Property. All intellectual property rights in and to the Service, including but not limited to all copyrights, trademarks, service marks, trade names, logos, patents, trade secrets, software, code, algorithms, visual interfaces, graphics, design, compilation, information, data, computer code, products, and all other elements of the Service (excluding your User Content), are owned by Liyam AI Ltd. or its licensors. These rights are protected by intellectual property laws worldwide.

7.2. Limited License to You. Subject to your compliance with these Terms, Liyam grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal, personal, and non-commercial purposes, as permitted by the functionalities of the Service.

7.3. Restrictions. You may not copy, reproduce, modify, adapt, create derivative works of, publish, display, distribute, sell, lease, rent, sublicense, assign, transfer, or otherwise exploit any part of the Service (excluding your User Content) without our explicit prior written consent. Any unauthorized use is strictly prohibited.

 

8. Acceptable Use Policy

You agree not to use the Service in any way that:

• Violates Law: Violates any applicable local, state, national, or international law, regulation, or judicial order.

• Infringes Rights: Infringes upon or violates the intellectual property rights, privacy rights, publicity rights, or any other rights of others.

• Harmful Content: Uploads, posts, or transmits any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

• Malicious Activity: Attempts to probe, scan, or test the vulnerability of the Service or any related system or network, or breaches any security or authentication measures.

• Interference: Attempts to interfere with, disrupt, or burden the Service, its servers, networks, or other systems (e.g., by sending unsolicited communications, or using automated scripts or bots).

• Reverse Engineering: Attempts to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service.

• Unauthorized Access: Gains or attempts to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service.

• Impersonation: Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with a person or entity.

• Commercial Spam/Solicitation: Sends unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or any other form of solicitation.

 

9. Indemnification

You agree to indemnify, defend, and hold harmless Liyam AI Ltd., its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and successors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees and costs) arising out of or in any way connected with:

• Your access to or use of the Service;

• Your User Content;

• Your violation of these Terms or any applicable law or regulation;

• Your violation of any rights of a third party, including without limitation any intellectual property rights or privacy rights.

Liyam reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Liyam.

 

10. Disclaimers and Limitation of Liability

10.1. Disclaimers. * "AS IS" and "AS AVAILABLE" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. * No Warranties: TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, LIYAM AI LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. * No Guarantees: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, RELIABLE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED. * No Control Over Content: LIYAM DOES NOT ENDORSE, WARRANT, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND LIYAM WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. * Your Responsibility: YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK.

10.2. Limitation of Liability. * Exclusion of Certain Damages: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIYAM AI LTD., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LIYAM HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. * Cap on Liability: IN NO EVENT WILL LIYAM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100 USD) OR (B) THE AMOUNTS PAID BY YOU TO LIYAM FOR THE USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. * Jurisdictional Limitations: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, LIYAM'S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

 

11. Termination

11.1. Termination by Liyam. We reserve the right to suspend or terminate your access to the Service, in whole or in part, at our sole discretion, at any time, and without prior notice or liability to you, for any reason, including but not limited to: * If we believe you have violated or acted inconsistently with these Terms. * If we are required to do so by law. * If we decide to cease offering the Service or any part thereof. * For any other reason, including convenience.

11.2. Effect of Termination. Upon termination of your access to the Service, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

12. Governing Law and Jurisdiction

12.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

12.2. Exclusive Jurisdiction. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, United States. You hereby irrevocably and unconditionally consent to the personal jurisdiction and venue of such courts for the purpose of any such action.

14.2. Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

14.3. No Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Liyam's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4. Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms, in whole or in part, at any time without notice or consent.

14.5. Headings. The headings in these Terms are for convenience only and have no legal or contractual effect.
